1. Introduction
These Terms of Use (“Terms”) govern access to and use of the website www.datepay.in, including all linked pages, APIs, software, tools, mobile applications, features, and services offered by Datepay and its group entities (“Datepay”, “we”, “our”, “us”) (collectively, the “Platform”).
Any person who accesses or uses the Platform, whether or not they avail any services, shall be deemed to have read, understood, and accepted these Terms along with all related policies, including the Privacy Policy.
If you do not agree with these Terms, you must immediately stop using the Platform.
2. Acceptance of Terms
You may accept these Terms by:
- Clicking “Accept” where such option is provided; or
- Accessing, testing, or using any Datepay service.
Your continued use of the Platform constitutes binding acceptance of these Terms.
3. Definitions
- User / Seller / Client / You: Any individual or legal entity using Datepay
- Services: Payment aggregation, settlement, subscriptions, and related services
- Policies: Terms of Use, Privacy Policy, KYC Policy, Grievance Policy, and other policies issued by Datepay
4. Regulatory Compliance & KYC
Users acknowledge that:
- Settlement of funds is subject to successful completion of KYC obligations as per RBI guidelines
- Datepay may withhold, delay, reverse, or suspend settlements if KYC is incomplete or unsatisfactory
- Funds may be returned to the original source in case of non-compliance
Datepay complies with applicable Indian laws including the Payment and Settlement Systems Act, 2007, PMLA, and RBI’s KYC/AML/CFT guidelines.
5. Services Offered
Datepay provides payment-related services as detailed on the Platform, including but not limited to:
- Payment collection
- Settlement services
- Subscription and recurring payment processing
Datepay may modify, suspend, or discontinue any service at its discretion without prior notice.
6. User Account & Registration
To access certain services, you must create an account and provide accurate, complete, and current information.
You agree that:
- All information provided is truthful and lawful
- You are responsible for maintaining confidentiality of login credentials
- Datepay is not liable for unauthorised account access caused by your negligence
Datepay may suspend or terminate accounts containing false, misleading, or unlawful information.
7. Permitted & Prohibited Use
You agree to:
- Use the Platform only for lawful purposes
- Not interfere with system security or operations
- Not misuse APIs, automation tools, or data scraping
You shall not host, upload, or transmit content that is unlawful, abusive, misleading, infringing, harmful, or violates applicable laws.
8. Content Ownership
All platform content including logos, software, designs, and intellectual property belongs to Datepay or its licensors.
Users retain ownership of their content but grant Datepay a non-exclusive, worldwide, royalty-free license to use such content for service operation and improvement.
9. Subscriptions & Recurring Payments
If you enable recurring payments:
- Customers authorise automatic debits as per the billing cycle
- You must notify Datepay of cancellation requests at least 7 days prior
- Datepay is not liable for charges processed due to delayed or missing notice
10. Eligibility
You represent that:
- You are at least 18 years old
- You are legally authorised to operate your business in India
- You have authority to bind your organisation (if applicable)
Datepay may conduct underwriting and due-diligence checks at any time.
11. Fees & Settlements
- Datepay charges service fees as communicated
- Settlements are processed typically within T+3 working days, subject to RBI rules
- Applicable taxes are borne by the User
- Invoices must be disputed within 30 days
Datepay may withhold settlements in cases of fraud, disputes, or policy violations.
12. Chargebacks & Disputes
- Transactions may be disputed up to 120 days
- Chargebacks may result in reversal of funds
- Users must cooperate with investigations and provide evidence
Fees charged by Datepay are non-refundable in disputed transactions.
13. Prohibited Businesses
Users shall not use Datepay for prohibited activities including but not limited to:
- Gambling, betting, lotteries
- Pornographic or adult content
- Illegal drugs or weapons
- Cryptocurrency trading (where prohibited)
- Pyramid or MLM schemes
- Activities banned under Indian law
Datepay may update this list at any time.
14. Data Security & Confidentiality
Users must:
- Not store card data on their systems
- Comply with PCI-DSS requirements
- Protect customer data confidentiality
Datepay may audit compliance where required.
15. Limitation of Liability
Datepay shall not be liable for:
- Business losses, lost profits, or reputational damage
- Technical downtime or third-party failures
- User negligence or non-compliance
Services are provided “as is” and “as available”.
16. Indemnity
You agree to indemnify Datepay against claims arising from:
- Fraud or misuse
- Legal violations
- Customer disputes
- Breach of these Terms
17. Force Majeure
Datepay shall not be liable for failure or delay caused by events beyond reasonable control, including natural disasters, government actions, network failures, pandemics, or cyber incidents.
18. Governing Law & Jurisdiction
These Terms are governed by the laws of India.
Courts in India shall have exclusive jurisdiction.
19. Privacy
Your use of Datepay is subject to our Privacy Policy, which forms an integral part of these Terms.
